These terms and conditions apply to Services provided by iUK Academy Limited (company number 12913421) of 4 Cavendish Square, London, W1G 0PG, UK with (“iUK Academy Limited” or “we” or “us”).

These Programme Specific Terms and Conditions are in addition to the Website Disclaimer and apply to the sale of and participation in  iUK Academy Limited Programmes.  Please read these terms and conditions carefully before purchasing a Programme and keep a copy for your records.

If there is any conflict between our Website Disclaimer, these terms and conditions and any Programme Specific Terms and Conditions which might apply to a specific Online Programme then the conflict shall be resolved by applying the following order of priority:

  1. Programme Specific Terms and Conditions;
  2. These Standard Terms for the Purchase of Online Programmes;
  3. Website Disclaimer.

For purchases via our website, by clicking on the “Accept” button you agree to the terms of this agreement which will bind you.  If you do not agree to these terms and conditions you must cease to continue to purchase any Services from us. 

  1. Definitions

“Confidential Information” means information provided by one party to the other in written, graphic, recorded, machine readable or other form concerning the business, clients, suppliers, finances and other areas of the other party’s business or products, including, without limitation, the Programme Materials, but does not include information in the public domain other than through the default of the party disclosing the information, information required to be disclosed by any court or regulatory authority, or any information already in the possession or control of the disclosing party.

“Programme Materials” means the information provided by iUK Academy Limited to accompany a course provided as part of the Services in hard copy or electronic form.

“Fees” means the fees paid by you to iUK Academy Limited or any of the InvestUK Group of Companies for the Services.

“Intellectual Property Rights” means copyright, rights in or relating to databases, patent rights, performers’ rights, designs and registered designs, trademarks, rights in or relating to Confidential Information and other intellectual property rights (registered or unregistered) throughout the world.

“Online Programme” means the delivery by us of an online course pursuant to which you learn course materials remotely.

“Services” means the provision of the Online Programme and/or the Programme Materials together with such other services as agreed from time to time and purchased by you through the Website or by other means.

“Platform” means the online learning platform used to deliver the Online Programme

“Interactive Area” means any bulletin boards, individual or group chats, discussion forums or any tools available on the Platform allowing you to post comments, material, views, reviews or comment on material posted by you, us or others or to interact with others or materials in any way

“Website” means www.iukacademy.com

“You” means the individual purchasing the Services

  1. The Services

2.1. A description of the Services together with the dates on which the Services will begin are available on the Website.  We will provide the Services with reasonable care and skill in accordance with the description set out on the Website.

2.2. We reserve the right to vary or withdraw any of the Services described in Annex 1 without notice.

2.3 We expect you to confirm that the Services you are purchasing will meet your needs.  We do not make any guarantee to you that you will obtain a particular result, professional qualification or employment opportunity from your purchase and completion of any of the Services. You should ensure that you allocate sufficient time to allow you to successfully complete the Online Programme.

  1. Ordering Services

Purchasing Services via the Website

3.1. In order to purchase any of the Services on-line you must register and pay via the Website. 

3.2. When you place an order for a Service via the Website, you are offering to purchase the Services on these terms and conditions.  iUK Academy Limited reserves the right to cancel or decline your order or any part of your order at any time until it has been confirmed in accordance with clause 3.4 below.

3.3. Following receipt by us of your order for Services via the Website we will contact you confirming receipt of your order. 

3.4. A legally binding agreement between us and you shall come into existence when we have :
(a)    accepted your offer to purchase Services from us by sending you an email confirming the purchase; and
(b)    received payment of the relevant Fees from you in accordance with clause 5 below. 

  1. Cancellation and Variation

4.1. Subject to clause 4.2 below, where we have accepted / confirmed the Services being purchased by you and formed a legally binding agreement with you in accordance with clause 3.4 above, then you are permitted within 14 working days starting on the day after the date we have concluded our agreement in accordance with clause 3.3, to cancel your purchase of the Services. 

4.2. If you have purchased an Online Programme and have already accessed, downloaded all or part of the Online Programme and/or started to use that Online Programme then you shall have no right to cancel your order.

4.3. Notwithstanding clause 4.1 there is no other right to cancel or vary your purchase of Services and any other cancellation and / or variation of course dates will be at the entire discretion of iUK Academy Ltd.

  1. Fees

5.1. The Fees for the Services shall be set out on the Website or as told to you over the phone at the time you placed an order for them.

5.2 Fees for the Service must be paid in full prior to you attending any Programme live sessions or accessing online materials.

5.3. Fees for the Service selected by you on the Website shall be debited from your credit / debit card at the time of purchase.  Fees must be paid in full prior to you accessing any Online Programme.

5.4. Any fees charged by your debit or credit card provider in connection with your purchase of Services are for your own account and iUK Academy Limited shall not be responsible for these.

  1. Student Conduct

By accessing the Online Programme through the online learning platform and/or the website, you signify your acceptance of the below. iUK Academy Limited may modify these terms and conditions from time to time.

6.1 iUK Academy Limited grants you a limited license to access and use the content located via the online learning platform in connection with the Programme you are enrolled in. As a condition of such license, you agree that:

  • All materials – including but not limited to text, photographs, video, audio, images and any other content – appearing via the Online Programme are protected by copyrights and/or other proprietary rights belonging to iUK Academy Limited and/or other third parties. You agree to abide by all applicable laws regarding copyrights, trademarks, publicity rights and privacy rights in the US, UK and any other jurisdiction from which you are accessing the Programme.
  • You may not copy, reproduce, duplicate, distribute, disseminate, publish, post, display, perform, modify, create derivative works from, upload to, transmit, or in any way exploit any content from the Online Programme. You may not sell or offer for sale any of the content, or allow third parties to access it, or use such content to construct any kind of database. You may use the content from the Online Programme only for personal, non-commercial use.
  • Any violation of these terms may result in your expulsion from the Online Programme and you may be subjected to fines and penalties.
  • You agree to maintain the security of any user name and password required for accessing the Online Course.  The Services provided by us under these terms and conditions are personal to you and cannot be transferred or assigned to any other person. You will notify us promptly if you become aware of any unauthorized use of your username and/or password.
  • The Company makes no claim that the Online Programme content is appropriate for any particular purpose or audience, or that it may be downloaded outside of the United Kingdom. Access to the Online Programme may not be legal by certain persons or in certain countries. When accessing the Online Programme and/or the Website, you are responsible for compliance with the laws of your jurisdiction.
  • iUK Academy Limited reserves the right to remove you from the Online Programme and/or the Website if you do not respect these guidelines, iUK Academy employees, instructors, mentors and/or fellow participants.

6.2 By submitting any material to us on the Platform you agree to abide by the following rules. iUK Academy reserves the right but does not have an obligation to monitor materials or any information which is posted on any part of the Site, any bulletin boards, discussion forums or any tools available on the Site allowing you to post comments, material, views, reviews or comment on material posted by you, us or others or to interact with others or materials in any way (“the Interactive Areas”) We also have the right, but no obligation, at any time to delete, remove, or suspend the whole or any part of the materials on the Platform or any content posted on them including in any Interactive Areas without notice and without incurring any liability.

The views, statements and opinions expressed in any of the Interactive Areas in any form are those of the individual contributors or advertisers and not the statements and opinions of iUK Academy Limited or its affiliated entities.

By posting your comments or materials on the Interactive Areas, you grant us and our affiliated entities a non-exclusive, perpetual, irrevocable, royalty-free, world-wide licence to use, reproduce, modify, adapt, translate, publish, make available, distribute, include in other works, sub-license and display any content you submit to us in any format now known or later developed. By submitting material you acknowledge that you waive any moral rights you may have in it.

You may use the Interactive Areas only to post content that is proper and appropriate to such areas and you must not do any of the following:

  • advertise, promote or offer to sell any goods or services even if you are acting for a charity or non-profit organisation;
  • post, transmit unsolicited promotional material “junk” mail or “spam”, pyramid schemes;
  • harvest or collect email addresses or other contact information or use automated scripts to collect information from or otherwise interact with the Site;
  • reveal any confidential or sensitive information;
  • reveal any personal information on other persons (for example, email address, telephone number or postal address, credit card numbers, social security numbers);
  • post or link to any content that we deem unlawful, defamatory, obscene, threatening, offensive, fraudulent, harmful or otherwise objectionable (this includes but is not limited to text, graphics, video, programs or audio);
  • post content which you do not have permission to use, in particular, material that contains the intellectual property rights of third parties;
  • upload, post share or otherwise make available any material that contains software viruses, computer codes, worms, trojans or any other components with harmful or contaminating effects to any user or equipment;
  • imply that any statements you make are endorsed by us;
  • delete any author attributions, legal notices or proprietary designations or labels in any content that is posted;
  • falsify the origin or source of content that is posted;
  • contribute content with the intention of committing or promoting an illegal act;
  • use inappropriate (e.g. vulgar or offensive) language or user names;
  • impersonate any living person or purport to represent any organisation;
  • use or attempt to use another’s account, service or system without authorisation, register for more than one account or register on behalf of another individual, group or entity;
  1. Technology Requirements

The Online Programme is facilitated through an online learning management system. It is your responsibility to ensure that you have the proper hardware and software requirements, along with access to Wi-Fi, to be able to participate in the programme. You will need to ensure you have the proper technology at the time of registration as you will be provided with the registration details.

iUK Academy Limited is not be responsible for any errors or failures in relation to your ability to access the Online Programme through the online learning management system or any related materials, including where such errors or failures are caused by: (i) a loss of connection on iUK Academy’s end or your end; (ii) a breakdown or problems with the online software and/or (iii) a breakdown or problems with your internet connection, computer or system.

iUK Academy Limited is not be responsible for any errors or failures in relation to your ability to access the Online Programme through the online learning management system or any related materials, including where such errors or failures are caused by: (i) a loss of connection on iUK Academy’s end or your end; (ii) a breakdown or problems with the online software and/or (iii) a breakdown or problems with your internet connection, computer or system.

  1. Liability

8.1. No part of the provision of the Services shall be deemed to be, nor is it intended to be, nor should it be taken to be, the provision of advice.

8.2. Although iUK Academy Limited aims to provide the Services to the highest standards of the industry, neither it, nor its trainers accept any liability for (i) any inaccuracy or misleading information provided in the programmes or Programme Materials and any reliance by Client on any such information, (ii) any loss or corruption of data, (iii) any loss of profit, revenue or goodwill, or (iv) any indirect, special or consequential loss arising from any breach of the terms of this Agreement.

8.3. Except to the extent that they are expressly set out in these terms and conditions, no conditions, warranties or other terms shall apply to the Services.  Subject to clause 8.5 no implied conditions, warranties or other terms apply (including any implied terms as to satisfactory quality, fitness for purpose or conformance with description).

8.4. Subject to clause 8.5 below, iUK Academy’s total liability arising from or in connection with these terms and conditions and in relation to anything which we may have done or not done in connection with these terms and conditions and the delivery of the Service (and whether the liability arises because of breach of contract, negligence or for any other reason) shall be limited to the Fees received by us in connection with the relevant Online Programme in relation to which a dispute has arisen.

8.5  Nothing contained in these Terms and Conditions shall exclude any liability of iUK Academy Limited in relation to death or personal injury resulting from any negligence on the part of IUK Academy Limited.

  1. Intellectual Property

9.1. All Intellectual Property Rights in the Programme Materials, Online Programmes and the speeches made by trainers are, and remain, the intellectual property of iUK Academy and its Partners, whether adapted, written for or customised for the Client or not.

9.2. You are not authorised to:-

(i) copy, modify, reproduce, re-publish, sub-licence, sell, upload, broadcast, post, transmit or distribute any of the Programme Materials without prior written permission;

(ii) record on video or audio tape, relay by videophone or other means the Online Programme

(iii) use the Programme Materials in the provision of any other course or training whether given by us or any third party trainer;

(iv) remove any copyright or other notice of iUK Academy or its Partner firms on the Programme Materials;

(v) modify, adapt, merge, translate, disassemble, decompile, reverse engineer (save to the extent permitted by law) any software forming part of the Online Programmes.

Breach by you of this clause 9.2 shall allow us to immediately terminate these terms and conditions with you and cease to provide you with any Services, including but not limited to access to the Online Programmes.

9.3. In consideration of the Fees paid by you, we grant to you a limited, non-transferable, non-exclusive licence to use the  Materials and the software in respect of the Online Programme for the sole purpose of completing the Programme.

  1. Confidentiality

10.1. Each party shall keep the other party’s Confidential Information strictly confidential and not use it otherwise than for the purposes of these terms and conditions, and shall return it on demand and not retain copies of it.

10.2 All information made available by any Participant of the Programme to the Instructors or any other Participant is made available on the understanding that such information is being disclosed in circumstances where an obligation exists on the part of each recipient of that confidential information to treat it as strictly confidential and to themselves to use any part of that confidential information or to disclose it to others.

10.3. Either party may disclose Confidential Information to its legal and other advisors for the purposes of obtaining advice from them.

10.4. This clause shall continue notwithstanding termination of these terms and conditions.

  1. Termination

11.1. We shall be entitled to terminate these terms and conditions and cease to provide you with any Services with immediate effect in the event that you:

  1. fail to pay when due your Fees;
  2. act in an aggressive, bullying, offensive, threatening or harassing manner towards any employee of iUK Academy Limited, any teacher or lecturer who provides the Programme or any Participant in the Programmes
  3. cheat or plagiarise any work which you are required to prepare or submit in connection with the Services or during any examination taken in connection with the Services;
  4. are in breach of these terms and conditions.

11.2. On termination clauses 8 (liability), 9 (intellectual property rights) and 10 (confidentiality) shall continue notwithstanding such termination.

  1. Assignment

Any Services provided by us under these terms and conditions are personal to you and cannot be transferred or assigned to any other person.

We shall be entitled to assign these terms and conditions to any other company without prior notice to you.

You must keep your password and identification details secure and you are fully responsible for all use of your account and for any actions that take place using your account.

You must not allow others to use your Registration Details or account, and you are solely responsible for maintaining the confidentiality and security of your account. You agree to notify iUK Academy Limited immediately of any unauthorised use of your Registration Details or account. iUK Academy will not be liable for any losses arising out of the unauthorised use of your Registration Details and/or account and you agree to indemnify and hold harmless iUK Academy Limited or any associated companies, agents, affiliates and/or licensors, as applicable, for unauthorised uses of your account

  1. Data Protection

13.1 The nature of the Services provided by us means that we will obtain, use and disclose (together “Use”) certain information about you (“Data”). This statement sets out the principles governing our Use of Data. By purchasing the Services you agree to this Use.

13.2 When you register with us you will need to provide certain Data such as your contact details and demographic information. We will store this Data and use it to contact you, provide you with details of the Services you have purchased and otherwise as required during the normal provision of the programme.

13.3 We may also use the above Data, and similar Data you provide us in response to surveys, to aggregate user profiles and provide you with communications. We will not pass any personal data onto anyone outside of iUK Academy Limited without your permission.

13.4 To enable us to monitor and improve our Services, we gather certain aggregated information about you, including details of your operating system, browser version, domain name and IP address, the URL you came from and go to and the parts of the Website you visit.

13.5. We use information such as your User ID, session identifiers and password to enable us to identify whether you are using our services, assist with the provision of services and to ensure that you have access to relevant products. We will only read cookies from your cookie file placed there through your web browser’s interaction with the Website.

13.6. Our products may link to third party websites and we are not responsible for their data policies or procedures or their content.

13.7. iUK Academy Limited endeavours to take all reasonable steps to protect your personal Data including the use of encryption technology, but cannot guarantee the security of any Data you disclose. You accept the inherent security implications of being and transacting on-line over the internet and will not hold us responsible for any breach of security.

  1. Entire Agreement

These Programme Specific Terms and Conditions, together with the Website Disclaimer are the entire agreement between the parties and supersede any prior agreements and arrangements, whether written or oral. You confirm that you have not relied on any representations in entering into these and any other terms and conditions with us.  Nothing in this clause or terms and conditions shall limit liability for any fraudulent misrepresentation.

  1. Force Majeure

iUK Academy Limited shall not be liable to you for any breach of its obligations or termination under these terms and conditions arising from causes beyond its reasonable control, including, but not limited to, fires, floods, earthquakes, volcanoes and other Acts of God, terrorism, strikes, delay caused by transport disputes, failure to provide a course caused by a death in the trainer’s family, illness of the trainer, Government edict or regulation.

  1. Law and Jurisdiction

This Agreement is subject to English law and the parties submit to the exclusive jurisdiction of the English courts in connection with any dispute hereunder.
